SDK to Abolish Internal Control Promotion Office And Integrate Its Functions into Internal Audit Office

Showa Denko K.K. (SDK) has decided to abolish the Internal Control Promotion Office and integrate its functions into the Internal Audit Office effective August 1.

The Internal Control Promotion Office was established on August 1, 2008 in preparation for the application to SDK, as from the fiscal year ending December 31, 2009, of the legal system of “internal control over financial reporting.” The responsibility of the office was to support the establishment of the internal control system within the Showa Denko Group, and to assess the effectiveness of the system.

Owing to the efforts after the establishment of the office, it is now judged that the Group’s internal control system has been well established. Additionally, as a result of assessment, the system in 2009—the initial year—has been confirmed effective.

Under the circumstances, SDK has decided to abolish the Internal Control Promotion Office and integrate its functions into the Internal Audit Office to increase the efficiency and effectiveness of operations pertaining to internal control and internal audit.

Following this organizational change, the new organization of SDK on and after August 1 will be as described below:
