SDK Reorganizes Ceramics-related Subsidiaries
―SDK Will Establish Showa Fine Ceramics―

Showa Denko (SDK) (Tokyo:4004) and two of its ceramics-related subsidiaries, Nagoya Kenmazai Kogyo Co., Ltd. (NKK) and Shiojiri Showa K.K. (SJS), have decided to merge NKK and SJS on January 1, 2015 and launch a new enterprise, Showa Fine Ceramics Co., Ltd.

Nagoya Kenmazai Kogyo Co., Ltd., whose plants are located in Nisshin City, Aichi Prefecture and Shiojiri City, Nagano Prefecture, has manufactured and sold artificial abrasives. Shiojiri Showa K.K., which is located in Shiojiri City, Nagano Prefecture, has mainly performed production works commissioned by Shiojiri Plant of SDK. SDK aims to make these business operations more efficient by merging the two companies.

Regarding its other ceramics-related subsidiaries, SDK already merged Showa Denko Ceramics Co., Ltd. (SDC) and Tohoku Metal Chemical Co., Ltd. (TRK) on October 1, 2014, aiming to relocate TRK’s facilities to produce abrasives for mirror plane polishing from TRK’s plant in Iwaki City, Fukushima Prefecture to SDC’s Toyama Plant in order to improve efficiency of abrasives production system. Showa Denko Ceramics Co., Ltd., whose direct ancestor had been established in January 1985, made its restart as a core company of SDK’s ceramics business with the new company name on January 6, 2014. SDC’s head office and Shiojiri Plant, which produces ceramic refractory materials and grinding materials, are located in Shiojiri City, Nagano Prefecture. SDC’s Toyama plant, which produces titanium oxide used for ceramic condensers and photocatalysts, is located in Toyama City, Toyama Prefecture.

In the PhaseⅡof its medium-term consolidated business plan PEGASUS, SDK positions its ceramics business as “Base (Stable)” business. SDK will complete measures to improve competitiveness of its ceramics business by the end of the term of PhaseⅡ, which is December 2015, and continue expanding its ceramics business.
